1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Website" means the website at cahayaada.live.
- "We / Us / Our" means Cahaya Advisory, a consulting practice based at 32 Lebuh Light, 10200 George Town, Pulau Pinang, Malaysia.
- "You / User" means any person who accesses or uses this Website.
- "Services" means the business consulting engagements offered by Cahaya Advisory as described on this Website.
- "Engagement Letter" means the written agreement signed between Cahaya Advisory and a client prior to the commencement of a consulting engagement.
- "Content" means all text, images, documents, and other material on this Website.
2. Acceptance of Terms
By accessing or using this Website, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you should not use this Website.
You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. These terms apply to your use of the Website only. Consulting engagements are governed by a separate Engagement Letter.
3. Services Description
Cahaya Advisory offers business consulting engagements for owner-managed and family-held enterprises in Penang and the northern region of Malaysia. Our services are described on this Website for information purposes. Submitting an enquiry through the Website does not constitute a binding agreement to provide or receive services.
Services are provided primarily to businesses and principals based in Penang, Kedah, Perlis and northern Perak. Engagements outside this area may be declined or may involve additional terms.
All consulting engagements are formalised by a written Engagement Letter, which takes precedence over any description of services on this Website.
4. Website Use and User Responsibilities
You agree to use this Website only for lawful purposes. You must not:
- Use the Website in any way that violates applicable Malaysian laws or regulations.
- Attempt to gain unauthorised access to any part of the Website or its systems.
- Transmit any material that is defamatory, offensive, or otherwise objectionable.
- Use the Website to impersonate any person or misrepresent your affiliation with any entity.
- Engage in any conduct that could damage, disable, or impair the Website's operation.
5. Intellectual Property
All content on this Website — including text, design, images, and structure — is the intellectual property of Cahaya Advisory and is protected under applicable Malaysian intellectual property laws.
You may view and print pages for personal, non-commercial reference. You must not reproduce, republish, modify, or distribute any content without our prior written consent.
Written advisory documents and other materials produced during a consulting engagement are subject to the terms of the relevant Engagement Letter. In general, deliverables are for the client's private use and are not to be shared beyond the agreed scope without our consent.
6. Payment Terms
Fees for consulting engagements are set out on our Solutions page and confirmed in the Engagement Letter. All fees are in Malaysian Ringgit (MYR). Payment is accepted by bank transfer only.
For the Heritage Business Strategy Reading (RM 640), payment is made in two stages: half on commencement and half on delivery of the written summary. For other engagements, a staged payment schedule is agreed in the Engagement Letter and aligned with delivery milestones.
Cancellation: If you cancel an engagement after commencement, fees already invoiced are due and payable. We will not invoice for work not yet performed. Terms vary and will be set out in the Engagement Letter.
7. Consulting Service Terms
The following terms apply to all consulting engagements:
- Scope, deliverables, timeline and fee are agreed in writing before work commences.
- Changes to scope require written agreement from both parties before implementation.
- We will not expand scope or fees without the principal's explicit prior agreement.
- Timelines are indicative. Delays caused by the client (e.g. unavailability for interviews) may extend the engagement without additional fee.
- Deliverables are issued in draft for principal review before finalisation. Factual corrections are addressed; the advisory content remains the responsibility of Cahaya Advisory.
- Engagement documents are prepared for the client's use and are held in strict confidence.
8. Disclaimers
This Website and its content are provided for general information purposes only. Nothing on this Website constitutes legal, financial, accounting or investment advice. Consulting engagements provide considered advisory input; the judgement and decisions of the principal remain their own responsibility.
We do not warrant that the Website will be continuously available or free from errors. We make no representations about the completeness or accuracy of information on the Website, which may be updated from time to time.
Results described or implied by engagement descriptions are for illustrative purposes only. We do not represent that any particular outcome will be achieved as a result of our advisory work.
9. Limitation of Liability
To the extent permitted by Malaysian law, Cahaya Advisory will not be liable for any indirect, consequential, or incidental loss arising from use of this Website or from a consulting engagement.
Our total liability to you for any claim arising in connection with a consulting engagement will not exceed the total fees paid by you for that engagement.
Nothing in these terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless Cahaya Advisory and its personnel against any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms or your misuse of this Website.
11. Termination
Either party may terminate a consulting engagement in accordance with the terms of the Engagement Letter. In the absence of specific termination provisions, 14 days' written notice is required. Fees for work performed up to the termination date remain payable.
We reserve the right to suspend or terminate access to this Website at any time without notice.
Clauses relating to intellectual property, liability, indemnification, and dispute resolution survive termination.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or from a consulting engagement will first be referred to informal resolution through direct discussion between the parties. If unresolved within 30 days, disputes will be referred to mediation or, if necessary, the courts of Malaysia with jurisdiction in Penang.
13. General Provisions
These Terms, together with our Privacy Policy and any applicable Engagement Letter, constitute the entire agreement between you and Cahaya Advisory in relation to your use of this Website and our services. They supersede any prior agreements or representations.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect. Our failure to enforce any provision does not constitute a waiver of that provision.
We may assign our rights and obligations under these Terms to a successor entity. You may not assign yours without our written consent.
14. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated "Last Updated" date. Continued use of this Website after an update constitutes acceptance of the revised Terms.
